3.1 Eligibility

You must be at least 16 to use the Services as a delivery recipient. You must be a registered Polish business entity (Sp. z o.o., jednoosobowa działalność gospodarcza, or equivalent) with a valid NIP to use the Services as a merchant.

3.2 Account Registration

To access the Merchant Dashboard, you must register and provide accurate information. You are responsible for credential confidentiality. Notify us at [email protected] if you suspect unauthorised access.

3.3 Acceptable Use

You agree NOT to: use the Services illegally; reverse engineer or interfere with the Services or any Droplet; impersonate or damage a Droplet; overwhelm our systems with excessive traffic; impersonate another person; upload malicious code; deliver Prohibited Items (see §7); collect information about other users without consent; or circumvent security measures.

All intellectual property rights in the Services, including the Hive Mind platform, Droplet robots, routing algorithms, AI models, Merchant Dashboard, API, website, brand, and logos, are owned exclusively by Droppey. You retain ownership of content you submit and grant Droppey a worldwide, royalty-free, non-exclusive licence to use it solely to provide and improve the Services. Feedback is licensed to Droppey perpetually and royalty-free.

Droppey provides autonomous last-mile delivery using sidewalk robots (Droplets — Speedybot Ultra units supplied by Fiona Robotics) powered by Hive Mind AI. Deliveries are available only within our defined Service Zone in Wrocław. Delivery requests are submitted by merchants; recipients do not submit requests directly. A Droplet waits up to 10 minutes at the delivery address; if undelivered, it returns the package to the merchant.

Merchant fees, billing and payment terms are set out in the RaaS Service Agreement (RAAS-TEMPLATE-002) and Schedule A. Summary: delivery fees are 50% of applicable market rate subject to a PLN 4.00 minimum floor per delivery, plus 23% Polish VAT. Net 30. We may suspend Services if an invoice remains unpaid more than 15 days past due.

The following items MUST NOT be sent via the Services (indicative):

• Firearms, ammunition, explosives, or weapons
• Illegal drugs or controlled substances
• Hazardous chemicals, flammable liquids, toxic substances
• Live animals or biological materials (except certified medical samples pre-agreed)
• Cash, bearer bonds, or negotiable instruments
• Age-restricted items (alcohol, tobacco) unless age-verified at order
• Human remains or body parts
• Anything prohibited by Polish or EU law from autonomous transportation

Merchants indemnify Droppey against any loss arising from breach of this clause. Droppey may inspect packages or refuse any delivery at its sole discretion.

We aim for 99.5% platform uptime as set out in the RaaS Service Agreement. Merchants warrant accuracy, compliance with packaging and authority to share recipient data.

EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS OR THE RAAS SERVICE AGREEMENT, THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTY OF ANY KIND, TO THE MAXIMUM EXTENT PERMITTED UNDER POLISH LAW. THIS LIMITATION DOES NOT APPLY TO CONSUMERS’ STATUTORY RIGHTS.

• Droppey’s total aggregate liability to any merchant shall not exceed total fees paid in the 3 months preceding the event.
• No liability for indirect, consequential or special damages, loss of revenue, profit, business, or damage to perishable goods.
• Liability for damage to package contents capped at PLN 500 per package unless additional insurance is purchased.

Nothing excludes or limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under Polish or EU law.

We may suspend or terminate access immediately without notice for breach or harmful conduct. You may stop using the Services at any time. Merchant account termination is governed by the RaaS Service Agreement. Termination does not affect accrued rights or obligations.

Polish law. Wrocław courts have exclusive jurisdiction. Consumers retain protection of mandatory rules in their country of residence and may use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

We may update these Terms. For material changes we will notify users by email and/or a prominent notice on droppey.com for at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.

These Terms, with the Privacy Policy, Cookie Policy, RaaS Service Agreement and DPA, constitute the entire agreement. Severability and no-waiver apply as standard. Polish version controls for Polish consumers. You may not assign without consent; we may assign to a successor entity with notice.
